Terms of Service

Last updated . We’ll notify you on WhatsApp + email at least 14 days before any change takes effect.

These are the rules of the road between Rexeipt and the businesses that use the platform. We’ve kept them as plain as the law allows. By signing up, sending “Hi” to our WhatsApp number, or otherwise using Rexeipt, you agree to this document.

1. Acceptance

By creating a Rexeipt account, sending us a WhatsApp message that we process, or letting Rexeipt record a transaction on your behalf, you accept these Terms and the Privacy Notice. If you don’t agree, don’t use Rexeipt — we don’t want to be in an unwilling agreement.

2. Eligibility

  • You must be at least 18 years old.
  • You must operate, or be authorised to operate, the business you register.
  • You agree your use of Rexeipt complies with the laws of every country where you do business.
  • If you sign up on behalf of a company, you confirm you have authority to bind that company to these Terms.

3. Your account

  • One account per business. Multiple owners can be added as managers or additional owners with their own credentials.
  • Keep your password and any 2FA factors private. You’re responsible for everything that happens under your credentials until you tell us they’re compromised.
  • The information you give us at signup must be accurate. Keep it current from the portal profile screen.
  • If you lose access (lost phone, forgotten password), contact app@rexeipt.com. We’ll verify identity using transactions you logged on the account.

4. Plans & billing

4.1 Plans

Current plans (subject to change with notice):

  • Free — ₦0 / month, 30 transactions / month, up to 5 staff.
  • Starter — ₦5,000 / month, 300 transactions / month, unlimited staff, priority support.
  • Pro — ₦10,000 / month, unlimited transactions, advanced analytics.

Prices are quoted in Nigerian Naira. International cards are accepted; your bank applies their prevailing FX rate. Plan changes take effect at the next billing cycle.

4.2 Free plan

The free plan exists to let you try the product. Going over the monthly transaction cap pauses recording until the cap resets or you upgrade. We don’t auto-charge a free plan; an upgrade is always an explicit action.

4.3 Refunds

We offer a pro-rated refund within 14 days of a paid-plan upgrade if Rexeipt isn’t working for you. After 14 days, paid months are non-refundable but you can downgrade or cancel from the portal at any time.

4.4 Failed payments

If a renewal payment fails, we’ll retry over 7 days and notify you. After 7 days the account drops to the free plan. Your data is preserved during this grace window.

5. Acceptable use

You agree not to:

  • Use Rexeipt for illegal goods, services, or transactions.
  • Issue receipts that you know to be inaccurate or fraudulent.
  • Spam, scam, or otherwise abuse customers via WhatsApp using receipts as a cover.
  • Reverse-engineer, scrape, or attempt to circumvent rate limits, RBAC, or tenant isolation.
  • Probe other tenants’ data, or attempt to leak UUIDs or internal IDs across business boundaries. Our audit log records every attempt.
  • Resell access to Rexeipt without a written partner agreement.

We may suspend or terminate accounts that violate these rules. We’ll notify you of the reason unless doing so would impede a fraud or law-enforcement investigation.

6. Your business data

  • You own your business data. Receipts, items, customer records, transactions — yours. We process this data on your behalf to deliver the service described in these Terms.
  • You can export everything you’ve put into Rexeipt at any time. The Copilot data export is self-service from portal › settings › privacy; full operational export goes through the DPO at app@rexeipt.com.
  • You’re the data controller for the personal data of your customers that flows through Rexeipt. We are the processor on your behalf. Both roles are spelled out in the Privacy Notice.
  • Some data we’re required to keep by Nigerian tax law (transactional records, 7 years). See Privacy § Retention.

7. WhatsApp + gateways

  • Rexeipt connects to your WhatsApp number through the WhatsApp Business API. We don’t replace your personal WhatsApp; we operate alongside it in the dedicated business thread.
  • WhatsApp message delivery is best-effort; outages on Meta’s side can delay or drop messages. Rexeipt queues incoming messages during outages and processes them when the gateway recovers.
  • You confirm you have the right to use the WhatsApp number you connect. Misuse (e.g. messaging customers who didn’t opt in to receive receipts from your business) is a violation of WhatsApp Business Policy and can result in WhatsApp blocking your number — that’s outside our control.

8. Copilot disclaimer

  • The Copilot is a software assistant that helps you record, recall, and act on your business data. It is not a substitute for a qualified accountant, lawyer, or financial advisor.
  • Insights and reports are produced from the data you give us. Garbage in, garbage out — keep your data clean for accurate output.
  • You stay responsible for the truth of any receipt, tax return, or regulatory filing produced from Rexeipt data, regardless of which tool or brain rendered it.
  • The Copilot operates only when you grant consent. See the dedicated Copilot Terms for the full opt-in / opt-out flow.

9. Intellectual property

  • Rexeipt, the logo, the platform code, the Copilot brain architecture, and all related branding are owned by us. You get a non-exclusive licence to use them for the purpose of running your business through Rexeipt.
  • You retain ownership of your business data and the receipts you generate.
  • If you submit feedback or feature requests, you grant us a perpetual, royalty-free licence to use that feedback to improve Rexeipt — without attribution unless you ask.

10. Security

We follow the practices documented in the Privacy Notice § Security. Highlights:

  • TLS 1.2+ in transit, AES-256 at rest.
  • Multi-tenant isolation enforced at four layers (RBAC, scoped DB transactions, RLS, post-LLM UUID validator).
  • Every Copilot tool call is audit-logged immutably.
  • Quarterly third-party penetration testing.

If you discover a security vulnerability, please email app@rexeipt.com before disclosing publicly. We don’t pursue good-faith research and we’ll acknowledge your finding within 5 business days.

11. Termination

11.1 Cancellation by you

You can cancel your account anytime from portal › settings. Paid plans drop to the free tier at the end of the current billing cycle. You can also request a full account deletion via the DPO; transactional data may persist under tax-law retention.

11.2 Suspension or termination by us

We may suspend access immediately for any breach of Section 5 (Acceptable Use) that endangers other tenants, customers, or the platform. Other breaches get a 14-day cure window. We can terminate after the cure window with written notice.

11.3 Effect of termination

On termination, your access to the portal ends. We retain data per the schedule in the Privacy Notice; transactional data persists for 7 years to satisfy tax obligations.

12. Warranties & liability

(This section is the lawyerly part. We’ve kept it as short as we can.)

  • We provide Rexeipt “as is”. We don’t warrant that the service will be uninterrupted, error-free, or fit for a specific commercial purpose beyond what these Terms describe.
  • To the maximum extent allowed by law, our total liability to you arising from or related to Rexeipt in any 12-month period is capped at the greater of (a) the fees you paid us in that 12-month period, or (b) ₦50,000.
  • Neither party is liable for indirect, consequential, incidental, or punitive damages — including lost profit, lost data, or business interruption — even if we’ve been advised of the possibility.
  • Nothing in this section limits liability that cannot be limited by law, including liability for fraud, gross negligence, or wilful misconduct.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved by good-faith negotiation will be settled by binding arbitration in Lagos under the Lagos Court of Arbitration Rules. EU / UK customers retain the consumer-protection rights granted by their local law; nothing here removes those rights.

14. Updates

We may update these Terms occasionally. Material changes are notified on WhatsApp + email at least 14 days before they take effect; minor wording tweaks (typos, clearer phrasing) take effect on publication. Continued use after the effective date counts as acceptance.

  • Support — account access, billing, how-to questions.
  • Privacy / DPO — data subject requests, NDPA / GDPR correspondence; we treat these on a 30-day SLA.
  • Security — vulnerability disclosures (good-faith research welcome; we acknowledge within 5 business days).
  • Legal — service of process, subpoenas, partner-agreement correspondence.
